Declaration of lost securities or share certificates: how does it work?

When a share certificate, bond or other paper security is lost, stolen or destroyed, the issuer or its transfer agent often asks for a sworn declaration describing the circumstances of the loss before issuing a replacement.

The precise requirements (surety bond, timeline, mandatory form) are set by the issuer or its agent: always ask for its procedure before drafting your declaration.

In what situations is it requested?

  • a share certificate misplaced during a move or an estate;
  • a security destroyed in a loss (fire, water damage);
  • a stolen security, with or without a police report;
  • an inherited security whose original certificate cannot be found.

What should the declaration contain?

  • the holder's full identity;
  • a description of the security (issuer, quantity, certificate number, date);
  • the known circumstances of the loss, theft or destruction;
  • a statement that the security has not been sold, given away or pledged;
  • a statement of truthfulness.

What if the loss results from a theft?

A police report is often useful and sometimes required. The sworn declaration complements it and does not replace it.
